HNT Comércio de Hortifrutigranjeiros, a wholly owned subsidiary of Americanas SA—currently undergoing judicial reorganization—entered into an asset purchase agreement with Grupo Fartura de Hortifrut (Grupo Oba Hortifruti) for BRL 69.3 million. The transaction covers all assets related to 10 “Hortifruti Natural da Terra” stores, all located in the State of São Paulo, and is part of Americanas’ judicial reorganization plan.
Veirano Advogados advised Americanas and HNT on the structuring of the operation, including the spin-off of HNT’s assets into a newly formed company, and on the negotiation of the transaction, in particular, the asset purchase agreement and its annexes.
For its part, Grupo Fartura de Hortifruti was represented by Mattos Filho Advogados.
The transaction presented significant legal challenges stemming from Americanas’ ongoing judicial reorganization proceedings, which necessitated careful structuring to mitigate liability risks related to business succession and ensure the proper segregation of the transferred assets. The transaction also required complex negotiations regarding the continued operation of the stores until closure, mechanisms for adjusting the purchase price, and the allocation of pre-existing liabilities.
The sale is included in the recovery plan approved in 2024 and is conditional upon prior approval by the Administrative Council for Economic Defense (CADE).
