Ibernova, a group focused on industrial software solutions with more than 4,000 clients and a turnover exceeding 30 million euros, incorporated into its industrial project the company TAI Smart Factory, a company specializing in technological solutions for the industrial sector and with a prominent presence in Catalonia.
Seegman advised Ibernova with a team led by Marta Sánchez-Blanco, head of Seegman’s Corporate Transactions practice, along with Constanza Vergara and Beatriz Oria from the corporate law team. Roger Tort, from the tax department, and Eduardo de Sousa, from the labor law department, also contributed, providing specialized advice in their respective areas.
Their advice has included carrying out legal, tax and labor due diligence, designing the transaction structure and negotiating the contractual documentation, as well as coordinating the various teams and advisors involved until the closing of the operation.
The transaction is part of Ibernova’s growth strategy. Ibernova is a group specializing in industrial software and backed by GTO Partners and Kartesia. The acquisition of TAI Smart Factory will allow the group to expand its technical capabilities, strengthen its geographic presence in Catalonia, and further develop its presence in sectors such as automotive, food, pharmaceuticals, and chemicals.
The integration also strengthens Ibernova’s comprehensive proposal for industrial digitalization, which includes Engineering, ERP, MES, WMS and CMMS solutions, and will allow it to offer a greater capacity to respond to the needs of its clients.
